Terms & Conditions of Trading
1. Payment Terms
1.1 Our trading terms for payment are strictly 30 days from issue date of invoice. Payment should be made direct to Wilcare Wales Ltd, or to our factors as advised, or by BACS to the account number as advised, in compliance with our invoicing instructions, unless special payment terms have been agreed with our company on a direct basis and confirmed in writing.
1.2 An Order Acknowledgement is sent by Wilcare Wales Ltd to confirm your order. This document shows details of the product to be built. Immediate query should be made if you disagree with the Order Acknowledgement specification given by Wilcare Wales Ltd as we only allow three working days for changes to be made. The projected delivery date is an indication only of the anticipated product build and shipping. Wilcare Wales Ltd cannot be held responsible for delays beyond its control due to circumstances outside its control.
1.3 Querying of invoice for any reason should be made to Wilcare Wales Ltd in writing within three working days of receipt of invoice.
1.4 All prices will be those agreed by Wilcare Wales Ltd, plus VAT at current rate in force.
1.5 Delivery will be by carrier or direct by Wilcare Wales Ltd unless otherwise agreed.
1.6 Unless the above terms are met, orders will be placed on HOLD until payment is received. This will increase the length of build and shipping time to you. Finished goods will not be shipped by Wilcare Wales Ltd if your account is overdue for payment. Legal recovery will commence in five days after the due date and will include interest plus costs.
1.7 Title of any goods does not pass to the customer until payment for those goods, or any other goods delivered to the customer by Wilcare Wales Ltd, have been paid in full.
2. Damage in Transit
Wilcare Wales Ltd must be advised by fax or telephone of any damage to goods within 24 hours of receipt. Damaged goods and/or cartons must be noted on delivery note of shipping company if one has been used. If there appears to be no apparent damage, the carriers consignment note must be signed as 'not examined', otherwise any damage subsequently discovered will be your responsibility, as will the cost to rectify the product. This does not apply when delivery is carried out by Wilcare Wales Ltd personnel.
3. Limited Warranty
3.1 Our chairs carry a 2 year warranty on mechanisms and wooden frames and 1 year on all fabrics, and are subject to fair wear and tear. Proper installation must take place on delivery of the product.
3.2 Warranty Registration - Each product can be identified by its own serial number. The supplier warranty registration card must be completed and returned to Wilcare Wales Ltd to register the sale date and location of the product. It is the retailers responsibility to return the warranty record card and failure to do so may invalidate your warranty, call-out and parts claims.
3.3 It is a primary requirement that all Wilcare Wales Ltd chair retailers provide a repair service for users. It is a requirement that Wilcare Wales Ltd are notified of any call-out under warranty. All cards MUST be PRE-REGISTERED with Wilcare Wales Ltd and an authorisation number obtained prior to making a service call. The authorisation number MUST be quoted on the service call claim. Without the authorisation NO service call-outs will be acknowledged.
3.4 Parts for warranty will continue to be invoiced to Wilcare Wales Ltd on a routine basis. As of immediate effect the returned faulty parts must be sent back to Wilcare Wales Ltd together with warranty call-out claim form. The above documents must accompany the returned goods. Failure to follow this procedure will result in the cost of the parts being transferred to your sales account and no credit for call-out being given.
3.5 When requesting parts under warranty the serial number of the product SHOULD be given at the time of the order. If this is not possible it MUST be given prior to shipment.
3.6 Goods must be returned to us using the above procedure; failure to do so will remain as a debt to your Wilcare Wales Ltd account.
3.7 It is essential that you check your record of sale to ensure that the product is still under its original warranty, two years from the date of sale by your company.
4. Returns and Allowances
4.1 No goods will be supplied on a sale and return basis by Wilcare Wales Ltd. No goods will be accepted for return without prior consent by Wilcare Wales Ltd and accompanied by a goods return note.
4.2 Any cancelled order of standard product accepted back by Wilcare Wales Ltd is subject to a 20% re-stocking charge.
5. Specification Changes
Wilcare Wales Ltd reserves the right to change material and specifications without prior notice. This is normally to cater for advancements in technology, redesign, components or materials. Fabric swatches and those printed in our brochures are only an indication of colour and texture; Wilcare Wales Ltd cannot be responsible for variations in colours and designs of fabrics.
6. Certificate Recommendation
Wilcare Wales Ltd recommend that you use the PDI/Handover certificate supplied with each product and these should be signed by the customer with one copy returned by the dealer with your invoice.
7. Out of Warranty Product
When agreed by Wilcare Wales Ltd, products returned to Wilcare Wales Ltd for repair outside of warranty, will be subject to quotation issued by Wilcare Wales Ltd. Work will only be carried out on receipt of signed approval of the Wilcare Wales Ltd quotation with your order number.
8. Data Protection Act
8.1 In accepting our credit terms you have agreed to our processing, recording, disclosure and using information provided. We may make such enquiries that we consider necessary in connection with the application or agreement with Wilcare Wales Ltd.
8.2 We may disclose information from your application to any fraud avoidance scheme in which we participate or any credit agency we use, which we will keep record of searches, details of accounts including defaults. Such details may be shared with other businesses. You have a right to receive a copy of personal information we hold on you and details of to whom it is disclosed.
